Member / User: The natural or legal person who registers on the Platform, completes the membership form, and accepts this Agreement (“Member”).
ARTICLE 1 — DEFINITIONS
- Platform: The website https://www.gxlocal.com and its API infrastructure operated by Gxlocal.
- Member: A natural or legal person that registers on the Platform and accepts this Agreement.
- Trial: A 30-day free evaluation tier granted automatically upon registration at no charge.
- Catalog: GXLocal’s product database comprising 100,000+ in-stock products across 4,000+ brands, sourced from integrated European suppliers.
- Store Connection: Integration of the Member’s Shopify store or a supported marketplace store (Ozon, Trendyol, eMAG) with GXLocal.
- Electronic Communication: Commercial or informational messages sent via email, SMS, or push notifications.
ARTICLE 2 — SUBJECT AND SCOPE
2.1 This Agreement governs the rules applicable to the Member’s registration and use of the Platform, as well as the rights and obligations under the Trial and paid plans. Consent to commercial electronic communications is not a condition of this Agreement and is obtained separately and optionally under the KVKK/GDPR Privacy Notice and Consent Statement.
2.2 By completing the registration form and clicking “I have read and agree”, the Member confirms they have read, understood, and accepted all provisions.
2.3 Personal data processing conditions are governed by the separate KVKK/GDPR Privacy Notice and Consent Form.
ARTICLE 3 – TRIAL SCOPE
3.1 Definition
The Trial is a 30-day free evaluation tier automatically granted upon registration, with no subscription fee and no payment method required.
3.2 Included Rights
- Catalog browsing: Search, filter and view product details across the full catalog.
- Limited product import: Up to 20 products may be imported to the connected Store
- Store connection: Connect 1 (one) store from supported platforms. Users: 1 (one) user account.
- Dashboard access: Order tracking, stock status and basic reporting.
- Support: Live chat, WhatsApp, support ticket and email support, plus the in-panel Help Center.
3.3 Restrictions
- When the import limit is reached, no further imports are possible until upgrading to a paid plan.
- Wholesale pricing, data export, brand document support and API access are available on paid plans only.
- The Trial is valid for 30 days from registration. When it expires, access to the Platform is suspended. If the Member does not upgrade to a paid plan within 7 days of expiry, the account is closed. Trial entitlements may be modified with prior email notice to the Member.
ARTICLE 4 — GENERAL USAGE RULES
4.1 The Member agrees to use the Platform only for lawful purposes and in accordance with this Agreement.
4.2 The Member is solely responsible for maintaining account security and keeping credentials confidential.
4.3 The following activities are strictly prohibited:
- Any attempt to disrupt Platform infrastructure (DDoS, scraping, brute-force, etc.)
- Unauthorized access to other users’ accounts
- Registration with false or misleading information
- Uploading or spreading malicious software
- Listing products or placing orders in violation of applicable law
4.4 Gxlocal reserves the right to suspend or terminate a Member’s account immediately upon detecting a breach.
ARTICLE 5 — COMMERCIAL ELECTRONIC COMMUNICATIONS
5.1 Receiving commercial electronic communications (email, SMS, and push notifications) is not a condition of membership and cannot be made mandatory.
5.2 This consent is obtained through a separate, optional checkbox in the registration form, under the KVKK/GDPR Privacy Notice and Consent Statement. Declining it does not affect access to the Platform or membership.
5.3 Message types include product updates, campaigns, Platform news, and educational content.
5.4 The Member may withdraw consent at any time via the “Unsubscribe” link in any message or by emailing [email protected]; opt-out requests are processed within 3 business days and do not affect membership.
5.5 This consent is obtained pursuant to Turkish Law No. 6563, the Regulation on Commercial Electronic Communications, and GDPR Art. 6/1(a).
ARTICLE 6 — INTELLECTUAL PROPERTY
All content, software, designs, trademarks, and catalog data on the Platform are owned by or licensed to Gxlocal. The Member may use these materials only within the normal scope of Platform use and may not transfer API access to third parties.
ARTICLE 7 — LIMITATION OF LIABILITY
7.1 Gxlocal shall not be liable for damages arising from force majeure, third-party service interruptions, or the Member’s own fault.
7.2 Trial services are provided “as is”. Gxlocal’s total liability for any event shall not exceed subscription fees paid in the preceding 12 months (zero for the Trial).
ARTICLE 8 — TERM AND TERMINATION
8.1 This Agreement enters into force upon registration and remains in effect until the Member closes their account or Gxlocal terminates it.
8.2 The Member may close their account at any time; obligations arising before closure remain valid.
8.3 After termination, personal data is handled in accordance with retention periods set out in the separate Privacy Notice.
ARTICLE 9 — GOVERNING LAW
This Agreement is governed by Turkish law. Disputes shall be brought before the competent courts of Istanbul, Turkey. Where the Member is resident in the EU, their local courts may also have jurisdiction for consumer law disputes.
ARTICLE 10 — AMENDMENTS AND NOTICES
Gxlocal reserves the right to update this Agreement with at least 30 days’ prior notice via the Platform and registered email. Members who object may close their account within this period; otherwise changes are deemed accepted.
ARTICLE 11 — PAID PLANS AND BILLING
11.1. GXLocal offers paid subscription plans (e.g. Pro) in addition to the free Trial plan. Current plans and prices are listed on the Pricing page of the Platform. The Pro plan includes: up to 2,000 imported products, unlimited store connections, up to 5 user accounts, wholesale pricing, data export, brand document support, and API access on request.
11.2. Paid subscriptions are sold and billed by Gxlocal’s payment partner Paddle, acting as Merchant of Record. Paddle handles payment processing, invoicing and applicable taxes.
11.3. Subscriptions renew automatically at the end of each billing period, and the subscription fee is charged to the Member’s payment method until cancellation. The Member may cancel at any time via their account or by contacting Gxlocal. After cancellation, the plan remains active until the end of the current billing period and no further charges are made.
11.4. Refunds are handled in accordance with the Refund Policy published on the Platform.
11.5. If a paid subscription ends, access to the Platform is suspended and catalog pricing and product limits revert to Trial levels. The account is not closed and the Member may resubscribe at any time. Data retention follows the periods set out in the Privacy Notice.
11.6. Gxlocal may change plan prices with prior notice; changes take effect as of the Member’s next billing period.
